1. Acceptance of Terms

Welcome to Enterprise Information Structuring ("EIS," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and any related data processing, records management, digitization, indexing, accuracy verification, data cleansing, and report generation solutions provided by Enterprise Information Structuring, located at 437 E Main St, Danville, KY 40422.

By accessing our website, engaging our services, submitting a service request, or otherwise interacting with Enterprise Information Structuring, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. If you do not agree with any part of these Terms, you must refrain from using our website and services immediately.

These Terms constitute a legally binding agreement between you and Enterprise Information Structuring. We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. Any changes will be effective immediately upon posting on our website. Your continued use of our services following the posting of any changes constitutes acceptance of those changes. It is your responsibility to review these Terms periodically for updates.

2. Description of Services

Enterprise Information Structuring provides professional administrative data processing and record management services to businesses and organizations. Our service offerings include, but are not limited to, the following:

2.1 Records Digitization

We convert physical business documentation into secure digital formats using high-resolution scanning equipment, optical character recognition (OCR) technology, and manual verification processes. This service encompasses the capture, conversion, and storage of paper-based records into organized digital files that can be integrated into your existing information management systems. All digitized records are delivered in industry-standard formats including PDF, TIFF, JPEG, CSV, or other formats as specified in the project scope.

2.2 Database Record Indexing

Our indexing services involve the systematic sorting, tagging, categorizing, and organizing of incoming enterprise data to facilitate efficient retrieval. We develop custom taxonomies and metadata schemas tailored to your specific business requirements, ensuring that every record is properly classified according to established naming conventions, date structures, departmental categories, and other relevant classification criteria.

2.3 Accuracy Verification Audits

We perform systematic cross-referencing of internal data sets against source documents and established benchmarks to ensure entry precision. Our multi-layer verification protocol includes automated validation rule checks, manual expert review, statistical sampling analysis, and comprehensive error reporting. Upon completion of each audit, we deliver a detailed accuracy report outlining findings, discrepancies, and recommended corrective actions.

2.4 Data Cleansing

Our data cleansing service involves the identification and removal of duplicate, incomplete, incorrect, or obsolete records from your business information systems. This process includes deduplication analysis, data normalization, format standardization, legacy record purging, and integrity validation to ensure your databases maintain optimal performance and reliability.

2.5 Report Generation Support

We transform raw data logs, unstructured datasets, and operational records into standardized administrative summaries, executive reports, compliance documentation, and formatted dashboards. Reports are generated according to your specifications and can be delivered in formats including PDF, Excel, Word, or integrated directly into your business intelligence platforms.

3. Client Obligations and Responsibilities

When engaging Enterprise Information Structuring for any service, the Client agrees to the following obligations:

  • Provide accurate, complete, and timely access to all records, data, and documentation required for the agreed-upon scope of work. Delays in providing materials may result in adjusted timelines and additional charges as outlined in the project agreement.
  • Designate an authorized point of contact who has the authority to make decisions regarding the project, approve deliverables, and facilitate communication between the Client organization and EIS.
  • Ensure that all data and documents provided to EIS are owned by or properly licensed to the Client, and that the Client has the legal right to authorize the processing of such materials.
  • Review and provide feedback on deliverables within the timeframes specified in the project agreement. Failure to respond within the designated review period may be treated as implicit approval of the delivered work.
  • Maintain backup copies of all original materials provided to EIS. While we exercise extreme care in handling client materials, we are not responsible for the sole storage or archival of original documents.
  • Comply with all applicable federal, state, and local laws and regulations regarding the data and records being processed, including but not limited to data privacy regulations, industry-specific compliance requirements, and employment recordkeeping standards.

4. Pricing, Payment, and Invoicing

Service pricing is determined on a per-project basis and is communicated to the Client through a detailed written proposal or statement of work prior to the commencement of any engagement. Unless otherwise specified in writing, the following payment terms apply:

  • A non-refundable deposit of 30% of the total project cost is required before work begins. This deposit secures your project slot in our production schedule and covers initial setup and assessment costs.
  • The remaining 70% is payable upon delivery of the final work product, unless milestone-based payment terms have been agreed upon in the project agreement.
  • All invoices are payable within 30 calendar days of the invoice date. Late payments are subject to a monthly interest charge of 1.5% on the outstanding balance.
  • Prices quoted in proposals are valid for 30 days from the date of issuance. After this period, pricing may be subject to adjustment based on current rates and resource availability.
  • Additional work beyond the original scope of the project will be quoted separately and requires written approval from the Client before execution.

5. Intellectual Property and Data Ownership

All data, records, and documentation provided by the Client to Enterprise Information Structuring remain the exclusive property of the Client at all times. EIS does not claim any ownership rights over client data under any circumstances.

Upon full payment of all invoiced amounts, all work products, deliverables, and processed outputs created by EIS in connection with the Client engagement are transferred to and become the property of the Client.

Enterprise Information Structuring retains ownership of all proprietary methodologies, tools, templates, software, processes, and frameworks used in the delivery of services. These proprietary assets are not transferred to the Client and remain the intellectual property of EIS.

6. Confidentiality and Data Security

Enterprise Information Structuring is committed to maintaining the confidentiality and security of all client information. We implement comprehensive security measures including:

  • 256-bit AES encryption for all data in transit and at rest
  • Role-based access controls limiting data access to authorized personnel only
  • Secure file transfer protocols for all data exchanges
  • Comprehensive audit logging of all data access and processing activities
  • Mandatory non-disclosure agreements (NDAs) for all employees and contractors
  • Physical security measures for on-site document handling facilities
  • Regular security assessments and vulnerability testing

We will not disclose, share, sell, or otherwise make available any client data to third parties except as required by applicable law, regulation, or valid court order. In the event of a legal request for disclosure, we will notify the Client promptly unless prohibited by law from doing so.

7. Warranties and Disclaimers

Enterprise Information Structuring warrants that all services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. We warrant that our accuracy verification processes are designed to achieve a minimum accuracy rate of 99.5% as measured against source documentation.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EIS DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENTERPRISE INFORMATION STRUCTURING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OUR SERVICES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF ENTERPRISE INFORMATION STRUCTURING EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

9. Termination

Either party may terminate a service engagement by providing written notice to the other party. Upon termination:

  • The Client is responsible for payment of all services performed and expenses incurred through the date of termination.
  • EIS will return or destroy all client data and materials in its possession within 30 days of termination, as directed by the Client.
  • The initial deposit is non-refundable regardless of the reason for termination.
  • Provisions related to confidentiality, limitation of liability, and intellectual property shall survive the termination of any service engagement.

10. Force Majeure

Enterprise Information Structuring shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, epidemics, pandemics, power outages, internet disruptions, or other events of force majeure.

11. Dispute Resolution

Any disputes arising out of or relating to these Terms or the services provided by Enterprise Information Structuring shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in Boyle County, Kentucky, in accordance with the rules of the American Arbitration Association.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any legal proceedings arising from or related to these Terms shall be conducted exclusively in the courts located in Boyle County, Kentucky.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms of Service, together with any project agreements, statements of work, or other written agreements executed between the parties, constitute the entire agreement between you and Enterprise Information Structuring regarding the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
